As de facto parliamentarian I'll take a stab at this: 1) The 2/3 majority is enough to carry the motion, no matter how more no votes are received. 12 yes votes from participating members are all that is required. 2) The charter says that Ontopia can have only one Participating Member (3.5.2). In speaking about people who change employer, section 3.5.5 says: "A change of employer shall not automatically cancel such an individual's access to meetings or ability to contribute work, however; such an individual shall have the option of retaining the status of Advisory Member unless otherwise decided by an absolute majority of the Participating Members." I read that to say that 2 of the 3 Ontopians (apparently Kal and Ann based on Steve P.'s note) can elect to retain Advisory Member status and have done so. The sentence also says that this change does not cancel access to meetings or ability to contribute work. However, the definition of Advisory Members (section 2.3) states: "Advisory Members may advise the TopicMaps.Org Authoring Group (AG), but they may not directly participate in conference calls or face-to-face meetings unless invited as guests (see section 3.6.3)." Having said this, in my opinion, Steve P., Kal and Ann (all having held Participating Member status in the past) should be allowed to attend the meetings. Ontopia, as an organization, shall have only 1 Participating Member vote. A similar issue is how Ontopia employee votes are handled within the subcommittees: This should be left to the chairs of the individual subcommittees based on the rules within the charter (section 7).
