Subject: Ballot for transfer to CGM Open Foundation (corrected)

Dear OASIS CGM Open Member Section Members,

This is a two-week CGM Open Member Section ballot, and the ballot is now open.

SUBJECT:

The CGM Open Member Section Steering Committee (CGMO MS SC) has unanimously
concluded (see reference [1]):  ongoing support for further WebCGM
development, and for the broader mission of CGM Open and the worldwide CGM
community, will best be served in an independent organization outside of OASIS.

Accordingly, the CGMO MS SC unanimously recommends that the activities and
assets of the CGMO MS be transferred to the new non-profit corporation "CGM
Open Foundation", according to the provisions of of clause 4.2 (see [1]) of
the Asset Transfer Agreement (ATA) with OASIS (March 2005) by which CGM
Open Consortium Inc was absorbed into OASIS as the CGM Open Member Section.

The CGMO MS SC has stipulated, per the requirements of ATA 4.2 (see [1]),
that a ballot of MS members be conducted and the outcome be determined by
simple majority.  The CGMO MS SC requests your support of the SC's
recommendation on this ballot.

WHO CAN VOTE:

The ATA 4.2 specifies (see [1]) that the voters shall be "current Members
of the OASIS CGM Open Member Section who are then in good standing".  The
SC stipulates that the "then in good standing" test is as of 12:01am, May
31, 2013.

According to the CGMO MS roster (see [3]), these nine may vote:  BAE
Systems (Malloy); EMC (Philpott); Henderson (Individual/PD); Weidenbrueck
(Individual); Larson Software Technology (Larson); PTC (Berger); Salzburg
Research Forschungsgesellschaft (Behrendt); The Boeing Company (Galt);
OASIS (McGrath)

BALLOT QUESTION:

The ballot question:  "Do you support the SC recommendation to transfer CGM
operations from the OASIS CGMO MS to the independent non-profit corporation
CGM Open Foundation (CGMOF)?"

HOW TO VOTE:

Voting is by email.  Please follow these 3 simple steps:

1.) Please send your vote by email using:   "To: dlarson@cgmlarson.com,
dee.schur@oasis-open.org"

2.) Please use the subject line:  "Subject:  Ballot for CGM transfer to CGMOF"

3.) For the body of the message, please use either:

"Yes, I support the SC recommendation to transfer to CGM "Open
Foundation"
or
"No, I do not support the SC recommendation to transfer to "CGM Open
Foundation"

ELECTION SCHEDULE:

The ballot opens at 12:00 noon EDT, Friday, May 31, 2013, and remains open
until 12:00 midnight EDT, Friday, June 14, 2013 (two weeks).

CHANGING YOUR VOTE:

Once a MS member has voted, he/she may change his/her vote by submitting it
again per the above voting instructions, as long as that is done before the
scheduled closing of the ballot (midnight 6/14/2013).
