Subject: Re: [cgmopen-sc] Some next steps on your move to CGMO Foundation

[Message 1 of 2]

Hi Scott,

As our Chair (Don) is fairly busy now, I'll send a few preliminary comments (embedded) on some of your points from recent emails.  (More later, after we have an initial meeting of CGMOF interim directors.)

Thanks for your helpful suggestions to speed the transition...

As we get close to the end of you balloting period to formalize your decision to move your operations to the new CGM Open Foundation, allow me to point out a few process points to speed your transition:

1. If you haven't already done so, begin the process to formalize your new CGM Open Foundation. Â We will need a established non-profit entity as recipient of your transferred assets.

This is partially done -- CGM Open Foundation is now incorporated as a Texas non-profit corporation.  As you know, that's the quick part -- the IRS 501(c)(6) application will take longer to process.  (Perhaps especially so now, with the current egg-on-the-face posture of the IRS!)

The many little details and processes of the setup are absorbing most of our attention now.

2. The process by which we formally permit future development of existing OASIS Standards is described in the Liaison Policy. Â Once the Member Section ballot closes affirmatively, we will work with the TC, giving them the right language for a motion.

Thanks for this guidance.  We will have a look at the Liaison Policy and get back to you about these topics.  (We request your patience -- not only are we very absorbed with the organizational setup processes, but our team has lots of current travel and vacation, and we presently do not have an on-demand, paid Program Director to keep things moving!)

3. Â We expect a vote to close the TC, here too we will give proper language. Â Do not invoke that, until the TC approves the spec submission to the new CGM Open Foundation.

Thanks for the offer of guidance.  We will gladly use it.  But per subsequent messages between you & I, it will take us a bit of time to sort everything out, and we request your indulgence.

4. Â You can vote to close the Member Section, though that is not necessary because the Steering Committee is imminently below the minimum number of members with one member whose membership is past renewal and in a grace period awaiting closure of your ballot to transition.

(Same comment as above.  And the SC anticipates appointing an interim replacement for Don, just to keep everything "on the up-and-up" (as we anticipate all of this taking longer than the end of June.)

hope that helps,

Yes, thanks.

-Lofton.
