Another thought - TC members who know that they will be late to a meeting should notify the Chair ahead of time, and could then be included in the attendance records.  This is also a common courtesy. This of course assumes you have a quorum without that person at the beginning of the meeting.  Otherwise, as pointed out earlier, you will not be able to conduct business.

Yes, but expecting the business reality that people do get delayed to go away is unrealistic. Causing two occurrences such a delay to result in a membership warning is a bit harsh. I would support inserting the sentence allowing the chair to extend a courtesy to members upon such a delay. This allows the chair to manage situations such as someone always arriving late without overly punishing people because a previous meeting ran late. Perhaps the TC minutes should reflect such late arrivers as an additional means of encouraging punctuality.

In addition, I suspect many TCs will operate in such a manner anyway and it would be better to have the rules governing TC operations explicitly provide for such behavior.

The flip side to that (and the reason for stating it the way we did) is
so that you don't have to keep taking roll call throughout the meeting.
Having roll call at the beginning will let the chair determine right
away if quorum is present and business can be conducted.

(Plus it encourages peoiple to show up on time :-)
