Subject: Re: Need Samvera asset transfer doc

Jamie,

Resending this message in support of Heather's other email yesterday noting time is getting very short on this. They are getting to the end of their service contract and fiscal year and need the paperwork to transfer the assets to OASIS. Thet admit not to having legal staff, so this ball is all yours.

Jamie,

see attached. There are a number of Samvera assets held by LYRASIS that need to be formally transferred to OODFÂbefore the end of their fiscal year. (June 30).

They don't have a lawyer and reportedly will acceptÂyour draft. Can you get a start on that?

I've attached the MOU that constitutes our current agreement with LYRASIS. By my review the list of assets would be:
  1. Third-party copyrightÂassignment required by UC Santa Barbara, UC San Diego, and the University of Washington. I've attached the assignment documents; they are in the name of the organization that merged with LYRASIS.
  2. Hold contributor licensing agreements and appropriate code licenses/copyright grants on behalf of Samvera. We hold EU and US trademarks and we are in the long process of being granted the Canadian trademark (report attached) -- I think I forwarded an email about that already but I will forward it again.Â
  3. Samvera Community funds held in a designated account; $320,189 was the amount for the end of March, but of course we will need to know the total when the transfer happens.
The MOU also lists community infrastructure, but I have already moved all of that away from LYRASIS.

Let me revisit this topic with Jamie Clark, our General counsel. Do you have a tacit list of assets known to be held or managed by Lyrasis?

Hi Scott,

I hope this message finds you well! I'm checking in to see if you can give me an idea of next steps, specifically as it relates to transferring ourÂassets from LYRASIS. They are very interested in that timeline, as their fiscal year end is coming up and it's a busy time.Â

I've read about fiscal sponsorship exit and transfer agreements, but as LYRASIS does not have an attorneyÂon staff, I doubt they would be willing to draft one, but I do think they would be willing to sign one that OASIS drafts.

Should I set up a call?
