Subject: Fwd: Sponsorship agreement for Open Repositories conference


Heather, thanks for your patience in our review of that contract. Most of its terms are unremarkable; obviously your risks are made relatively small because your few duties to perform, mostly in section 4, are relatively simple and under your control.

At the risk of stating the obvious, it's important that you monitor your performance of the few positive promises you've made, such as giving the sponsor the logo and placement coverage you have promised, and not exceeding the various restrictions on the use of their logo (including size, and advance permission) that appear in several places in the contract.

While we're never thrilled to see dispute resolution clauses requiring engagement with a relatively unknown set of laws or courts, that's sometimes not a negotiable matter with state institutions; and you may reasonably evaluate the stakes here as not creating a significant risk for you. Obviously we'd need to come back to that issue, if there ever were an actual dispute and required legal response under the contract.

Best of luck with the program. I certainly plan to watch parts again remotely this year if that option is available.
