Subject: Re: CoMotion - OMF MoU Draft
Well, shucks, glad they have some money ... but yes, on co-signing they should have come to you. I will defer to you two: it's a financial controls thing as much as legal. My take is yes. We still are having problems with Andrew thinking he has legal authority that he does not. And I know Cathie warned him about that. Requiring OASIS (LLC) officers having the final right to enter into big contracts is sort of our control point for maintaining their controls. Us not countersigning is kind of like training him to do it again. Y'all could decide that maintaining that kind of control is not part of your/our job for an OODF foundation.  Prudence judgment call there. I mean, if Heather at Samvera wanted to write checks or sign contracts up to $500 or something it would not scare me. But you'd still have the technical legal issue ... OODF managers can sign legal contracts for Samvera or ODF; but the local officers can not ... as we're currently organized. So on balance, if it was me, yes, I'd add the "OODF LLC, ODF Series" signature block and (depending on the date) have one of you sign as a manager. And then recirculate. I hate to say it, but bear in mind that a lot of these local execs are short-timers -- make the place look good for a year or two then send your resume around and scoot. So foundation solvency is not exactly their top of mind decision factor. Great seeing everyone this week. regards JamieJames Bryce Clark, General Counsel, OASIS Open, setting the standard for open collaborationÂOn Fri, Sep 29, 2023 at 11:56âAM Cathie Mayo <cathie.mayo@oasis-open.org> wrote:FYI, ÂI receivedÂthis from Andrew for the OMF summit. They do already haveÂ$55k in sponsorship fees to cover the $30k.ÂI am surprised we did not see this first before it was signed. Not sure if you want to sign as well just to make it official?~Cathie---------- Forwarded message ---------
