Please find attached the papers for our TC call next week.  Please check that you have the right time for the call as Daylight savings kick in/out for some people.  I will post the dial-in numbers very shortly.  I have scheduled this call to last for up to 1½ hours as we have some very important business to get through.  I hope this doesn’t cause too many problems for you.

 

The main item for discussion will be the Primer and Peter will be posting the final draft in the next 24 hours.  Could I ask everyone to take time to read this and raise any concerns with Peter before the meeting so that we can get to a position in the TC call to be able to vote to approve it.   Clearly if there are issues that need further consideration we will have to vote later once they have been resolved. 

 

To ensure everyone knows the voting procedures, we require a Full Majority to approve the Primer and this is defined as follows:

"Full Majority Vote" is a TC vote in which more than 50% (more than half) of the Voting Members vote "yes", regardless of the number of Voting Members present in the meeting. Abstentions are not counted. For example, in a TC in which there are 20 Voting Members, at least 11 Voting Members must vote "yes" for a motion to pass.

We currently have 14 voting members, as listed below, so we will need at least 8 voting Yes to approve the Primer at this meeting.  If the vote has to be held subsequently either by electronic ballot or at a later meeting those numbers may change depending on attendance at this meeting.

Current voting members are:  Oliver, John B, Peter, Chester, Nig, Ted, Gershon, Andy, Steve, Chris, John R, Colin, Joe, Takeo.

If anybody has other items for the agenda, or will not be able to attend the meeting, can they please let me know in advance.
