Anyway, in

   Because these changes are procedural, the PAC recommends that
   the board of directors exercise its authority to enact them
   directly rather than submit them to a vote of the membership
   and inform the membership of the action taken.
                                                     
"rather than" governs the rest of the sentence.  There should be
a period after "membership" and then "The Board should", deleting
"and".
