Subject: Re: Is the default process correctly described?
It looks like we have consensus that I've got the default process more or less right. Let's work on this in the background to be clear on the details. [Terry Allen:] | I'm happy to agree on "an" interpretation, in particular, Jon's, once | we clarify a few points. For example, in Section 7, can the committee | (as well as the Board) set the frequency of meetings? Jon and I get | different results performing the expansion. The original article 3 section 7 reads Section 7. Regular Meetings Regular meetings of Directors, shall be held at a minimum of four (4) times per calendar year. Performing the expansion called for in art. 5 sect. 3 and adding the board (on which we seem to be agreed) gave me this: Regular meetings of the committee shall be held at a minimum of four (4) times per calendar year or as the Board of Directors shall provide. I didn't mean to limit the right of the committee to schedule meetings. I now think that a more accurate expansion would be Regular meetings of the committee shall be held at a minimum of four (4) times per calendar year and at such additional times as the committee may determine or as the Board of Directors may provide. (Reminder: I'm not attempting to set policy here, just to understand the process we're given to start with.) There may be other nuances here that I'm not digging deeply enough into Robert's to find. What other aspects of my interpretation of the default process are in question? Jon
