MINUTES OF THE REGULAR MEETING of the
OASIS PROCESS ADVISORY COMMITTEE, 2000-07-07
(Amended to include final resolution)


The PAC met from 7:00-8:35 pm EDT on Friday 07 July, 2000

Resolutions


1.  The major business of the meeting was the consideration
    of amendments to the OASIS Bylaw changes document that
    was approved at the Paris meeting, 16 June, 2000.

    There were a series of motions to amend the wording of
    the Paris document.  Amendment motions were considered
    in the order received by the chair, but have been
    reorganized below in document order, to make these
    minutes easier to follow.

A.  We resolved to accept the following amendments to Article 14:


1) Section 3. TC Formation; 2nd paragraph, 1st sentence
    - Comma added after the word "membership"
    - Delete the words "it shall" before "return the submission,
      to read:

   No later than 15 days following the submission, OASIS TC
   administration shall either provide these materials to the
   membership, with a call for participation and an announcement
   of a first meeting, or return the submission to its
   originators with an explanation of its failure to meet the
   requirements set forth in this section.


2) Section 4. First Meeting of a TC; 2nd paragraph, 2nd sentence
    - Replace "every individual OASIS member" with
      "every PEOTCP" to read:

   The first meeting of a TC must occur at the place and time and
   in the manner described in the announcement.  Any initial
   meeting whose time or location is changed and any initial phone
   meeting that fails to grant access to every PEOTCP previously
   registering a desire to participate shall be subject to appeal
   as provided in the section of this article titled "Appeals."


3) Section 5. TC Membership; 3rd paragraph
    - Add the word "OASIS" following the word "individual" to read:

   The transference of an individual Oasis membership shall not
   automatically confer TC membership upon the transferee.


4) Section 8. TC Chairs; 1st paragraph
    - Replace the words "as specified in Article 15 of these
      bylaws" with the words 'as specified in the section of
      this article entitled "Appeals"' to read:

   A TC chair may be removed by action of the board of directors
   following an appeal as specified in the section of this
   article titled "Appeals" or by a vote of 2/3 of all the members
   of the TC.


5) Section 9. TC Visibility; 4th paragraph
    - Reverse the phrases "regarding TCs" and "from
      OASIS TC administration" to read:

   OASIS shall create a publicly archived list for announcements
   from OASIS TC administration regarding TCs.  Any PEOTCP shall
   be able to subscribe to this list.


6) Section 9. TC Visibility; 5th paragraph, next to last word.
    - Replace word "the" with word "a" to read:

   Every important change in TC status shall be posted to the
   announcement list, such changes to include but not be limited
   to the following: TC formation; changes in purpose,
   deliverables, or meeting schedule; publication of working
   drafts; publication of committee specifications; calls for
   implementation; submission of a specification as a proposed
   OASIS standard; approval or rejection of a proposed standard;
   start or end of participation in a joint committee; and closure
   of a TC.


7) Section 15. TC Coordination; paragraphs 5 and 10
    - Changing the number "14" to "15"

   Paragraph Five:
   The voting ...by sending mail no later than 15 days
   preceding the meeting to the chair of the JC, and (c) attend
   the first meeting of the JC...

   Paragraph Ten:
   If termination of membership in a JC causes a still existing
   TC's contribution of voting members to that JC to fall to zero,
   the chair of the JC shall, within 15 days following ...



B. We resolved to accept the following amendments to Article 15:


1) Second paragraph, 2nd sentence
    - Add the word "first" before the word "calendar"
    - Delete the word "immediately" following the word "quarter"
      to read:

   Thirty days shall be allowed for administrative processing of a
   proposed standard.  The proposal shall be submitted to the
   OASIS membership for review at the beginning of the first
   calendar quarter following the 30 days allocated for
   administrative review. ...


2) Sixth paragraph, second bulleted item "b.", 2nd sentence,
      next to last word
    - Delete the word "formal" before the word "resolution"
      to read:

      If negative votes amounting to less than 10 percent of the
      voting membership have been cast, the negative votes and
      accompanying comments, if any, shall be forwarded to the
      originating TC for consideration.  After notification of the
      results, the TC shall have 30 days to take one of the
      following actions by resolution:


C.  The following were moved to amend and failed to be passed:


1) Section 5. TC Membership; third paragraph
    - Delete the word "automatically" to read:

   A transferred individual membership shall not confer TC
   membership upon the transferee.

2.  At the close of the meeting , we resolved that the
    following should accompany the delivery of the
    proposed bylaw amendment text, when that text was
    delivered to the board by the chair.

   Implementation of the TC process

   The PAC recommends that the new process for OASIS TCs be
   implemented as follows:

      1. Change the title of Article 5 from "Committees" to
	 "Committees of the Board."

      2. Add a new Article 14, "Technical Committees," the text of
	 which is attached.

      3. Add a new Article 15, "Standards Process," the text of
	 which is attached.

   Because these changes are procedural, the PAC recommends that
   the board of directors exercise its authority to enact them
   directly rather than submit them to a vote of the membership,
   and the board should then inform the membership of the action
   taken.

3.  Resolved to adjourn this meeting.  The next meeting will
    be held at the call of the chair.
