[xtm-wg] Wording for consideration - split of chair/editor

Below is some wording which I would like the participating members to
consider for an amendment to the charter splitting the roles of chair and
editor.  A motion on this item will not be put forth until the Austin
meeting.

Please consider the wording below and be prepared to discuss it in Austin.
While this mailing list is for discussion, please limit  discussion to
issues rather than wordsmithing.  Exact wording will be decided in Austin.

5.1.4. TopicMaps.Org AG Chair

The TopicMaps.Org AG chair will consist of one or more persons, at least one
of which must be a Participating Member. The TopicMaps.Org AG chair will be
elected, and may be replaced, by an absolute majority of Participating
Members. The chair will diligently endeavor to create consensus, using any
appropriate means available, and to cause that consensus to be accurately
reflected in any written work products.

5.1.4.1  Responsibilities of the TopicMaps.Org Chair

The chair shall be responsible for the conduct of all meetings.  This
includes but is not limited to: setting of agendas, securing of meeting
facilities, reporting of minutes, etc.  The chair may appoint a secretary to
take minutes during meetings.  The chair shall act as arbiter in matters of
dispute and has the authority to make a binding decision.  Such decisions
can be over-ridden by an absolute majority of the Participating Members.
When the chair is a Participating Member, he/she shall have the right to
vote on all resolutions put before the Participating Members.  The chair
shall be an authorized spokesperson for TopicMaps.Org.


5.1.5. TopicMaps.Org AG Editor

The TopicMaps.Org AG editor will consist of one or more persons. The
TopicMaps.Org AG editor will be elected, and may be replaced, by an absolute
majority of Participating Members. The editor will be responsible for the
consistency, quality and publication of the written work product(s) of
TopicMaps.Org.

5.1.5.1  Responsibilities of the TopicMaps.Org Editor

The editor shall be responsible for the production of any technical
publications produced by TopicMaps.Org.  This includes but is not limited
to: specifications, technical reports, topic maps, algorithms, etc.  The
editor shall prepare any technical publications as instructed by the AG.
The editor shall be an authorized spokesperson for TopicMaps.Org.
